{"id":7887,"date":"2024-02-01T22:17:21","date_gmt":"2024-02-01T16:47:21","guid":{"rendered":"https:\/\/cccfornews.com\/index.php\/2024\/02\/01\/court-invalidates-elon-musks-56b-tesla-pay-package\/"},"modified":"2024-02-01T22:17:21","modified_gmt":"2024-02-01T16:47:21","slug":"court-invalidates-elon-musks-56b-tesla-pay-package","status":"publish","type":"post","link":"https:\/\/cccfornews.com\/index.php\/2024\/02\/01\/court-invalidates-elon-musks-56b-tesla-pay-package\/","title":{"rendered":"Court Invalidates Elon Musk&#8217;s $56B Tesla Pay Package"},"content":{"rendered":"<p> <br \/>\n<\/p>\n<div data-td-block-uid=\"tdi_82\">\n<div class=\"tdb-block-inner td-fix-index\">\n<p>On Tuesday, a Delaware judge invalidated billionaire Elon Musk\u2019s $56 billion pay package from his electric car company Tesla, ruling that Tesla\u2019s board of directors failed to substantiate the justification for the compensation plan tied to Musk\u2019s performance as CEO.<\/p>\n<p>Chancellor Kathaleen St. Jude McCormick <a href=\"https:\/\/courts.delaware.gov\/Opinions\/Download.aspx?id=359340\">determined <\/a>that Musk had a decisive role in formulating the pay package, and the compensation committee and board members he negotiated with maintained significant personal connections to him.<\/p>\n<p>\u201cThe concept of fairness calls for a holistic analysis that takes into consideration two basic issues: process and price,\u201d the judge wrote. \u201cThe process leading to the approval of Musk\u2019s compensation plan was deeply flawed. Musk had extensive ties with the persons tasked with negotiating on Tesla\u2019s behalf.\u201d<\/p>\n<p>These ties included decades-long personal and professional relationships, as well as a former divorce attorney \u201cwhose admiration for Musk moved him to tears during his deposition,\u201d the judge wrote.<\/p>\n<p>Moreover, Tesla shareholders who voted to approve the package were not completely aware of the information behind it as \u201cthe proxy statement inaccurately described key directors as independent and misleadingly omitted details about the process,\u201d the judge asserted.<\/p>\n<p>\u201cThe price was no better,\u201d she continued. \u201cIn defense of the historically unprecedented compensation plan, the defendants urged the court to compare what Tesla \u2018gave\u2019 against what Tesla \u2018got.\u2019 This structure set up the defendants\u2019 argument that the stockholders\u2019 compensation plan was \u2018all upside\u2019.
